Free Trial (“Free Trial Terms and Conditions”) are an addendum to the Generation Impact Global SA Terms of
Service or, if applicable, the offline agreement between Generation Impact Global SA and Customer governing
Customer’s use of the GRI Reporting Tool services (the applicable agreement, the “GIG Agreement”), and apply
to Customer’s participation in the GRI Reporting Tool Free Trial (“Free Trial”). Capitalized terms not
defined in these Free Trial Terms and Conditions will have the meanings given to them in the GIG Agreement.
1. Conditions
1.1 The Free Trial applies only to the use of the GRI Reporting Tool. Use of theServices under the Free
Trial is subject to the terms of the GIG Agreement except as otherwise specified in these Free Trial Terms
and Conditions.
1.2 Only new Generation Impact Global SA customers are eligible to participate in the Free Trial.
1.3 The Free Trial starts when the Customer receives credentials to access an account and begins using the
GRI Reporting Tool (“Free Trial Start Date”) and ends the date 2 months from the Free Trial Start Date.
2. Limitations
2.1 Customer’s use of the GRI Reporting Tool under the Free Trial is limited to the features and
capabilities available in the Free Trial package.
2.2 Customer may not use the GRI Reporting Tool for any unlawful activities or in violation of any
applicable laws and regulations.
2.3 Certain Services and features may not be available under the Free Trial, as indicated by Generation
Impact Global SA.
2.4 The Service Level Agreements (SLAs) and indemnity provisions do not apply to the use of the GRI
Reporting Tool under the Free Trial. Services provided under the Free Trial are not covered by Technical
Support Services (TSS).
2.5 Generation Impact Global SA may terminate or modify the Free Trial at any time with or without notice
to the Customer.
2.6 Limitation of Liability: To the fullest extent permitted by law, Generation Impact Global SA shall not
be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data
loss, or business interruption. The total liability of Generation Impact Global SA under these Free Trial
Terms shall in no event exceed one Swiss Franc.
3. Upgrading to Standard Account
3.1 At any time during the Free Trial, Customer may convert their Free Trial account into a standard
Generation Impact Global SA account by sending request to: info@generationimpact.global
3.2 Upon upgrading to the standard account, the Free Trial will terminate, and the Free Trial Terms and
Conditions will no longer apply.
4. Conclusion of the Free Trial
4.1 When the Free Trial ends or terminates, the Customer will no longer have access to the GRI Reporting
Tool under the Free Trial terms.
4.2 During the 30-day period following the conclusion of the Free Trial, the Customer may contact
Generation Impact Global SA support to migrate Customer Data from the Free Trial account or to upgrade to a
standard account.
5. Miscellaneous
5.1 Sections 2, 2.4, 4, 5.1, and 5.2 will survive any expiration or termination of the Free Trial Terms and
Conditions.
5.2 If the terms of these Free Trial Terms and Conditions and the GIG Agreement conflict, the terms of
these Free Trial Terms and Conditions will govern.
6. Force Majeure
Neither party shall be liable for any failure to perform its obligations under these Terms if such failure
results from circumstances beyond the reasonable control of the party, including but not limited to acts of
God, war, terrorism, natural disasters, or any other event of force majeure.
7. Governing Law and Jurisdiction
These Free Trial Terms and Conditions are governed by and construed in accordance with the laws of
Switzerland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive
jurisdiction of the courts of Geneva, Switzerland.
8. Data Protection
Generation Impact Global SA is committed to protecting the privacy of its customers in compliance with the
Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation
(GDPR). Any personal data collected during the Free Trial will be handled in accordance with our Privacy
Policy and applicable data protection laws.
