On 14 September 2026, the Securities Registration Superintendence (SRE) of Brazil's Securities and Exchange Commission (CVM) published Circular Letter CVM/SRE Anual/2026. The document consolidates instructions for issuers, offerors, and financial intermediaries involved in public securities offerings.

This release marks the return of the annual circular publication, which was paused after 2021 during a comprehensive revision of Brazil's public offering framework. That overhaul commenced with CVM Resolutions 160 and 161 in July 2022, which took effect in January 2023.

Key operational themes covered in the circular encompass registration application procedures under automatic and ordinary review regimes, the drafting of advertising materials, information disclosure standards, tender offers, and tax-exempt or tax-advantaged securities.

The text also provides directives regarding lead coordinators, securities structuring and distribution, document verification protocols, and supervisory findings tied to CVM's Risk-Based Supervision Biennial Plan.

The 2026 circular supersedes previous general SRE instructions on these topics, though market participants must continue to read it alongside specific circulars concerning the SRE registration system.
